By accessing or using the website located at damzin.com, engaging with our services, submitting a contact form, or otherwise communicating with Damzin / Quantara Solutions LLC, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated by reference.

These Terms constitute a legally binding agreement between you ("Client" or "User") and Quantara Solutions LLC (DBA Damzin).

Damzin / Quantara Solutions LLC provides the following services:
Specific service deliverables, timelines, and pricing are set forth in separate Service Agreements or Statements of Work ("SOW") entered into between Damzin and the Client. In the event of any conflict between these Terms and a signed SOW, the SOW shall control.
The "14-Day Free Workflow Setup" promotional offer is available to new clients only, subject to eligibility and availability. The free setup period begins upon onboarding completion. After the free period, continued use of the service is subject to the fees set forth in the applicable service agreement. Damzin reserves the right to modify or discontinue this offer at any time.
Quantara Solutions LLC (DBA Damzin) operates SMS messaging under the 10DLC (10-Digit Long Code) framework. By opting in, you agree to receive text messages as described below.

By providing your mobile number and checking the SMS opt-in checkbox on any Damzin form, you expressly consent to receive text messages from Quantara Solutions LLC (DBA Damzin) at the number provided, including messages sent via automated dialing technology. Message frequency varies. Typical frequency is 1–5 messages per inquiry or campaign. Message and data rates may apply. Contact your wireless carrier for details about your plan.
Supported U.S. carriers include AT&T, T-Mobile, Verizon, Sprint, and other major carriers. Carriers are not liable for delayed or undelivered messages.
Your mobile number and SMS opt-in consent will not be shared with or sold to any third party for marketing purposes. This data is used solely to facilitate the communications you consented to receive from Damzin.
Service fees are set forth in the applicable Service Agreement or SOW. All fees are quoted in U.S. Dollars unless otherwise specified. Damzin reserves the right to modify its pricing with 30 days' written notice to existing clients.
Unless otherwise agreed in writing, invoices are due within 14 days of the invoice date. Damzin accepts payment via the methods specified in the invoice.
Overdue payments may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Damzin reserves the right to suspend services for accounts more than 30 days past due.
All fees are non-refundable unless otherwise expressly stated in the applicable Service Agreement or required by applicable law. The 14-Day Free Workflow Setup promotional period carries no financial obligation during the free period.
By engaging Damzin's services, you agree to:
All content on our website, including but not limited to text, graphics, logos, and software, is the property of Quantara Solutions LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Upon full payment of all fees, and as specified in the applicable Service Agreement, Damzin assigns to Client the rights to custom deliverables created specifically for Client. General methodologies, templates, tools, and pre-existing IP used in delivering the services remain the property of Damzin.
You retain ownership of all content, data, and materials you provide to Damzin. You grant Damzin a limited, non-exclusive license to use such content solely for the purpose of providing the services.
Each party agrees to keep the other party's confidential information — including business strategies, client data, pricing, and technical processes — strictly confidential and to use such information only for the purpose of performing obligations under the applicable service agreement. This obligation survives termination of the business relationship for a period of three (3) years.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR ACHIEVE ANY SPECIFIC RESULTS.
Results described on our website (e.g., revenue growth, lead conversion rates) are representative of past client outcomes and are not guaranteed. Actual results depend on numerous factors outside our control, including your industry, market conditions, and the quality of your products or services.
TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTARA SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Damzin in the three (3) months preceding the claim.
You agree to defend, indemnify, and hold harmless Quantara Solutions LLC, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data or content you provide to us.
Either party may terminate a service engagement by providing written notice as specified in the applicable Service Agreement. In the absence of a separate agreement, either party may terminate by providing 30 days' written notice.
Damzin reserves the right to terminate or suspend access to our services immediately, without prior notice, if you violate these Terms, engage in abusive or illegal conduct, or fail to make required payments.
Upon termination, your right to use our services ceases immediately. Sections regarding intellectual property, confidentiality, disclaimer of warranties, limitation of liability, indemnification, and governing law survive termination.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Quantara Solutions LLC is registered, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will provide notice via email or a prominent website notice at least 10 days before the change takes effect.
Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms.
